1. Agreement to terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", the "User") and Halo Ai Technologies (ABN: 82801499583) ("Halo Ai", "we", "us", "our") governing your access to and use of the Halo Ai platform, including the web application at app.haloai.com.au, the Excel and Word Office Add-ins, and all related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. The Service
Halo Ai is an AI-powered audit, accounting, and finance assistant designed for Australian accounting and audit firms. The Service provides:
- AI-assisted analysis and review of financial documents
- Integration with Microsoft 365 (Teams, SharePoint, OneDrive)
- Document matching, disclosure checking, and version comparison tools
- Excel, Word, Outlook, and PowerPoint Office Add-ins for in-application use
- Knowledge base search across Australian standards (AASB, ASA, APES)
- Firm-level collaboration and workflow tools
3. Accounts and registration
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorised access to your account
- Be at least 18 years of age
You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
Organisation administrators are responsible for managing member access, roles, and permissions within their organisation. When an administrator invites a user, that user becomes subject to the organisation's subscription tier and policies.

4.2 Billing
Subscriptions are billed monthly in advance. By subscribing, you authorise us to charge your designated payment method on a recurring monthly basis. You are responsible for keeping your payment information current.
4.3 Cancellation
You may cancel your subscription at any time from your dashboard settings. Upon cancellation, your account will be downgraded to the expired trial state at the end of the current billing period. No refunds are provided for partial months. You may resubscribe at any time.
4.4 Usage limits
Each subscription tier includes specified usage limits (document reviews per day, AI analysis reviews per month). If you exceed these limits, functionality may be restricted until the next billing cycle. We will notify you when you approach your limits.
5. Free trial
New users receive a 14-day free trial with full access to Professional tier features. No credit card is required to start a trial. At the end of the trial period, if you have not subscribed to a paid plan, your account will be limited to 5 requests per day with access to core features only.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws and regulations
- Share your account credentials with unauthorised individuals
- Attempt to access data belonging to other organisations
- Use automated scripts, bots, or scrapers to access the Service (except through our published APIs and add-ins)
- Reverse-engineer, decompile, or disassemble any part of the Service
- Upload malicious files, malware, or content designed to disrupt the Service
- Use the Service to generate fraudulent financial statements, falsified audit evidence, or misleading compliance reports
- Resell, sublicense, or redistribute access to the Service without our written consent
- Circumvent usage limits, subscription tier restrictions, or security controls
7. Third-party integrations
The Service integrates with Microsoft 365 (Teams, SharePoint, OneDrive, and Outlook through the Halo Outlook add-in). Your use of these integrations is subject to Microsoft's terms of service and privacy policies in addition to these Terms.
- Microsoft 365: We access Teams, SharePoint, and OneDrive data based on the permissions you grant during connection. The Halo Outlook add-in is read-only — it reads the email you have open in order to summarise, draft replies, or extract structured fields, and never sends, forwards, deletes, or follows links. You may revoke access from your Halo Ai dashboard or your Microsoft account settings.
We are not responsible for the availability, accuracy, or security of third-party services. Outages or changes to third-party APIs may temporarily affect Service functionality.
8. AI outputs and professional responsibility
This is one of the most important sections of these Terms. Please read it carefully.
- The Service uses artificial intelligence to assist accounting and audit professionals. AI outputs are assistive tools, not professional advice.
- You must exercise independent professional judgement when relying on any output generated by the Service.
- Halo Ai does not guarantee the accuracy, completeness, or reliability of any AI-generated content, including but not limited to financial analysis, compliance assessments, disclosure checklists, document matches, and standards references.
- The Service is not a substitute for compliance with Australian Auditing Standards (ASA), Australian Accounting Standards (AASB), professional ethical standards (APES), or any other applicable laws, regulations, or professional standards.
- You are solely responsible for verifying all figures, calculations, and conclusions against original source data before relying on them in any professional capacity.
- The AI does not fabricate financial figures. However, errors in source data, integration data, or AI interpretation may occur. All outputs should be treated as draft work requiring professional review.
9. Intellectual property
9.1 Your content
You retain full ownership of all data, documents, and content you upload to or create using the Service ("Your Content"). You grant us a limited, non-exclusive licence to process Your Content solely to provide the Service to you.
9.2 Our platform
The Service, including its software, design, branding, documentation, and AI system prompts, is the intellectual property of A Wealth and Knowledge Education Network. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service under your subscription.
9.3 AI-generated outputs
Content generated by the AI assistant in response to your queries is provided to you for your use. We do not claim ownership of AI-generated outputs produced in response to Your Content.
9.4 No model training
Your Content is not used to train, fine-tune, or improve any AI models. All AI processing is governed by contractual terms that prohibit the use of customer data for model training.
10. Data and security
We take the security of your data seriously. Our security measures are described in detail in our Privacy Policy. Key protections include:
- All data stored on private, encrypted servers in Australia
- Australian-region AI processing
- Encrypted credentials and secure authentication
- Multi-factor authentication support
- Immutable, append-only audit trail
- Role-based access control with organisation isolation
11. Service availability
We target 99.9% uptime for the Service, excluding scheduled maintenance. We will provide reasonable advance notice of planned maintenance where possible. We do not guarantee uninterrupted or error-free operation of the Service.
The Service depends on third-party infrastructure providers. Outages or degradation of these services may affect availability.
12. Limitation of liability
To the maximum extent permitted by law:
- Halo Ai is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
- We do not accept liability for any financial losses, professional liability claims, regulatory penalties, or other damages arising from reliance on AI-generated outputs or Service functionality.
- We do not accept liability for losses caused by third-party service outages, integration failures, or data inaccuracies in connected systems (Microsoft 365 and any other third-party services you may have connected).
- Our total aggregate liability to you for any claims arising from or related to the Service is limited to the total fees paid by you in the 12 months immediately preceding the claim.
- Nothing in these Terms excludes or limits liability that cannot be excluded under Australian law, including liability under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).
13. Indemnification
You agree to indemnify and hold harmless Halo Ai, its directors, employees, and agents from any claims, losses, or damages (including legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your reliance on AI-generated outputs without appropriate professional review
- Any breach of your professional obligations or applicable laws
- Any claim by a third party related to Your Content
14. Professional indemnity
Halo Ai is a software tool, not a professional services firm. We do not provide professional indemnity insurance coverage for your use of the Service. Users who are registered tax agents, auditors, or accounting professionals are required to maintain their own professional indemnity insurance in accordance with APES 305 Terms of Engagement and the requirements of their professional body (e.g., CA ANZ, CPA Australia, IPA).
15. Termination
You may terminate your account at any time by contacting us or through your dashboard settings. We may suspend or terminate your access to the Service if:
- You breach these Terms
- Your payment is overdue for more than 14 days
- We are required to do so by law
- We reasonably believe your account has been compromised
Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with the retention periods described in our Privacy Policy. You may request an export of your data prior to termination.
16. Changes to terms
We may update these Terms from time to time. Material changes will be communicated via email to your registered address at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.
17. Governing law
These Terms are governed by the laws of Victoria, Australia. The courts of Victoria have exclusive jurisdiction in relation to any dispute arising under or in connection with these Terms. Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by any legislation that cannot be lawfully excluded or limited.
